Northern Star Resources has confirmed and rejected an unsolicited takeover proposal from South African miner Gold Fields that valued the Australian gold producer at about $38.7 billion.
The proposal implied a value of $27 per Northern Star share and combined cash with Gold Fields shares. Northern Star said the terms undervalued the company and would leave its investors with substantial exposure to Gold Fields stock and a different jurisdictional risk profile.
Gold Fields said it had made a non-binding indicative proposal to acquire all of Northern Star. The approach did not progress after Northern Star's board rejected it.
Northern Star shares rose sharply after the proposal became public. Investors should rely on formal company announcements for any further developments.
